About Mitch

Mitch Purvis is a senior partner in the firm's Commercial Finance and Corporate practice groups with over 38 years of practice experience. His commercial finance practice concentrates on representing banks and other lending institutions in debt financings, including both single-lender and syndicated loan transactions. He structures, documents and closes loans and business transactions, including asset based, revolving and term credit facilities, for working capital, acquisitions, real estate and refinancings, second lien facilities and lease financings, as well as loan workouts, restructurings and debtor-in-possession and exit financing.

Mitch's corporate practice involves counseling business entities of various sizes in mergers and acquisitions, equity and debt financings, contracting and corporate governance matters. He represents software development and distribution, consulting and professional services, construction, packaging, chemicals and other manufacturing and distribution, among other industries.

Mitch has been a leader in bar work, including as a past chair of the Corporate & Banking Law (now Business Law) Section of the State Bar of Georgia.  He has lectured extensively on business topics.


Representative Engagements

  • Led legal team for ABL lender that provided acquisition finance to a quarry company purchased by equity sponsor via 363 sale and credit bid, secured by quarry assets
  • Acted as agent's counsel in $1 billion revolving credit facility to manufacturer of modular buildings, coordinating real estate collateral filings in numerous U.S. states and Canadian provinces
  • Represented national bank as agent's counsel in $250 million syndicated revolving credit facility to manufacturer and importer of textile products
  • Represented agent in multiple financing rounds of $180 million syndicated revolving credit and letter of credit facility to firearms manufacturer, closing simultaneously with a subordinated notes offering
  • Acted as agent's counsel in $55 million revolving credit and letter of credit facilities to industrial components manufacturer
  • Represented U.S. agent and lender in successive credit facilities for electronics distributor also involving Canadian facilities
  • Represented national bank as sole lender, and as agent and lender in subsequent syndicated refinancing, of $57 million secured credit facility for environmental services company
  • Reviewed loan documentation for participations by client banks as co-lenders in numerous credit facilities, ranging from $45 million to $1.6 billion, to borrowers in various industries
  • Represented sellers in multi-million dollar software development company, website, flexible packaging and other asset sale transactions, to strategic and financial buyers, including private equity groups
