About Paul

Paul is a founding partner of the firm and retired from his practice in 2017.  His practice for over 40 years was centered around business and corporate law, with a particular emphasis on the representation of clients in mergers, joint ventures, acquisitions and dispositions of businesses. Transactions involved private as well as public companies, venture capital funds, financial institutions and family companies. A significant sub-specialty was the representation of health care institutions in strategic affiliations and M&A activity. Paul also advised legal entities and their governing bodies on governance issues and fiduciary obligation issues and represented senior corporate executives in their employment and severance packages.

Representative Engagements

  • Represented a national, integrated radiology practice management company in acquisition transactions
  • Represented a national renal dialysis provider in acquiring and developing renal dialysis centers throughout the United States
  • Represented a not-for-profit clinical care and research organization in selling its infusion business to a not-for-profit community health system
  • Represented a limited liability company comprised of large institutional health care systems in establishing the first "statewide" HMO in Georgia
  • Represented a national insurance brokerage firm through eight rounds of equity and debt financing, and in connection with its management equity incentive plans, a total reorganization plan, and its strategic acquisitions of businesses
  • Represented a not-for-profit entity in establishing a research facility and medical clinic specializing in the diagnosis and treatment of multiple sclerosis
  • Represented a not-for-profit holding company in obtaining tax-exempt status and in the reorganization of two not-for-profit hospices and related foundations
  • Represented a public English company in the acquisition of a US-based manufacturing concern (consideration was cash plus an earn-out)
  • Represented numerous physician practice management companies in acquiring physician practices throughout the United States
  • Represented several hospital management companies in the acquisition and disposition of multiple hospital facilities throughout the United States
