About Behrouz

Behrouz Kianian is Of Counsel with the firm's Commercial Finance practice group. He primarily represents banks and other financial institutions in a variety of secured lending transactions, including asset based lending, negotiation and documentation of both single lender and syndicated credit facilities, and restructuring and workout transactions. Behrouz enjoys working on all aspects of a deal and has significant experience working with difficult or complicated collateral packages, sponsor led transactions and acquisition finance.

 

Prior to joining Parker Hudson, Behrouz practiced in Atlanta with Paul Hastings LLP representing agents and lenders in finance and restructuring matters and in San Francisco with Kirkland & Ellis LLP representing private equity firms and their portfolio companies in leveraged finance transactions.

Representative Engagements

  • Primary drafting responsibility in developing state-of-the-art form credit agreement and security agreement for large private equity firm and lender.
  • Represented lead agent and lender in Dutch auction debt purchase in heavily syndicated first/second lien credit facilities and related solicitation to allow discounted debt purchases as part of a recapitalization.
  • Represented lead agent and lender in an asset-based credit facility to a public company and subsidiaries, including US, Canadian and European borrowers and multi-currency facilities.
  • Represented lender in developing customized documentation with respect to a cash-secured letter of credit facility.
  • Represented private equity firm portfolio company in syndicated first-lien and second-lien mezzanine facilities to fund a dividend recap transactions.
  • Represented private equity firm portfolio company in incremental financing, along with restatement of sponsor fund-level facility, to finance simultaneous domestic and international acquisitions.
  • Represented lead agent and lender in a syndicated financing to a borrower from initial documentation through numerous up-sizes, acquisitions and subsequent IPO process.
