About Jim

Jim is a partner with the firm's corporate, tax and mergers and acquisitions practice groups. His practice for over 30 years has concentrated on business and corporate law, with an emphasis on the representation of U.S. and foreign clients in a wide variety of corporate matters including mergers and acquisitions, other transactions, equity and debt financings, tax planning, and governance advice. Transactions have involved private and public companies, private equity groups, venture capital funds, entrepreneurs and family offices. Jim advises entities and their governing bodies on governance issues and fiduciary obligation issues and represents senior corporate executives in their employment and severance packages.  Jim also has significant experience in succession planning, wealth management, and estate planning.

Jim represents, and is responsible for handling and overseeing the commercial legal needs of domestic and foreign companies in various industries such as business services, technology, life sciences, transportation, construction, manufacturing, real estate, telecommunications, and energy.

  • Represented companies in bridge loan financing related to strategic acquisition.
  • Represented life science company in license of gene delivery and expression system; transaction was featured in IP Law and Business.
  • Represented life science companies with spin-off from universities and related licensing with universities of intellectual property.
  • Represented business services companies in various roll-up acquisitions.
  • Represented various companies in leveraged ESOP transactions.
  • Represented gas marketing company in Bankruptcy Section 363 sale.
  • Represented U.S. supplier in various acquisitions under assignment for the benefit of creditors statutes in various states.
